General Terms and Conditions

1. Scope

These General Terms and Conditions of Sale (hereinafter the “GTC”) govern the contract (hereinafter the “CONTRACT”) for the online sale of products (hereinafter the “PRODUCT” or “PRODUCTS”) offered to users of the WEBSITE by VEMA TECHNOLOGY SRL (hereinafter “ROVER”), with registered office at Via Todeschino 43, Sirmione (BS), VAT No. IT04480280983 and Tax Code 04480280983, owner of the ROVER trademark, through its website www.roverinstruments.com.

2. Validity and amendment of the GTC

The GTC are published on the WEBSITE so that the CUSTOMER can easily read and understand them before purchasing a PRODUCT. They must be accepted before the purchase order is submitted and may be saved on the CUSTOMER’s computer and reproduced on paper by printing the file in which they are contained.

The GTC applicable to the sale of the PRODUCTS are those published on the WEBSITE on the date of the relevant order. The CUSTOMER must therefore complete the operations described above before making any purchase.

ROVER reserves the right to amend these conditions of sale without prior notice. Purchase orders placed before the publication of any amendments shall remain subject to the General Terms and Conditions in force when the sales contract was concluded.

3. Purchase procedure

The offer of the PRODUCTS displayed on the WEBSITE is subject to their actual availability. A CUSTOMER wishing to make a purchase must express this intention by submitting a request directly through the WEBSITE and following the indicated procedure. By confirming the order, the CUSTOMER declares that they have read and accepted these conditions of sale. Where an order includes multiple PRODUCTS, a separate contract shall be deemed to have been concluded for each PRODUCT ordered.

4. Conclusion and effectiveness of the contract

After receiving the purchase order, ROVER shall send the CUSTOMER an order receipt containing a summary of the information relating to the sale and shall proceed with fulfilment of the order. This communication shall include the CUSTOMER’s and order details, the price of the goods purchased, transport costs and the shipping address to which the goods will be sent. The CUSTOMER is responsible for checking this information.

5. Payment methods

5.1 Payment may be made by credit card, PayPal —including payment in three instalments—, bank transfer or instalment financing. Credit or debit card payments: an order shall not be processed until the payment transaction has been authorised by the relevant bank. If the card issuer refuses to authorise the payment, ROVER shall not be responsible for any delay or failure to deliver. Bank transfer payments: the CUSTOMER must make the transfer to the bank account details subsequently provided by ROVER. PayPal payments: PayPal enables direct payment without the need to disclose sensitive information online.

6. Prices

6.1 All selling prices for products offered on www.rover-eshop.com are expressed in euros and include VAT.
6.2 Shipping costs for online purchases are not included in the purchase price. They are displayed and calculated when the purchase process is completed and before payment is made. Shipping is free for orders over €1,000.
6.3 ROVER requires payment of the full price, including shipping costs, before delivery or performance of the contract. ROVER shall suspend delivery or performance until full payment has been received.
6.4 The CUSTOMER accepts that ROVER may change its prices at any time. However, the goods shall be invoiced at the prices displayed on the WEBSITE when the order was placed and confirmed in ROVER’s order-confirmation email.

7. Product delivery

7.1 ROVER undertakes to deliver the PRODUCTS to the address provided by the CUSTOMER in the purchase order through the appointed carrier.
7.2 ROVER shall not be held responsible for delivery errors caused by inaccurate or incomplete information provided by the CUSTOMER when completing the order. ROVER shall also not be responsible for damage to the PRODUCTS occurring after they have been handed over to the carrier or for delays attributable to the carrier.
7.3 ROVER reserves the right to notify the CUSTOMER, within 20 days of purchase and at the email address associated with the CUSTOMER’s profile, if one or more purchased PRODUCTS are unavailable. In such cases, ROVER shall refund the price and shipping costs to the payment card, PayPal account or CUSTOMER’s IBAN where payment was made by bank transfer. Only with the CUSTOMER’s agreement and consent, and exclusively upon ROVER’s proposal, may ROVER send a different PRODUCT of equivalent value. The unavailability of one or more PRODUCTS shall not entitle the CUSTOMER to cancel the entire order.
7.4 If the ordered goods are delivered outside Italy or the European Union, the CUSTOMER may be subject to import duties and taxes payable when the parcel reaches the specified destination. Any additional customs-clearance costs shall be borne by the CUSTOMER.

8. Invoicing

8.1 For every order placed on www.rover-eshop.com, ROVER shall issue an invoice for the goods sold. The invoice shall be issued using the information provided by the CUSTOMER at the time of purchase. Once the invoice has been issued, the information shown on it cannot be changed.

9. Customer rights and obligations

9.1 When confirming the purchase order, the CUSTOMER declares:
a) that they have read, understood and accepted the GTC;
b) that they authorise ROVER to process the personal data provided at the time of purchase.
9.2 Once the purchase procedure on the WEBSITE has been completed, the CUSTOMER undertakes to save an electronic copy and print the CONTRACT and the GTC for their records.
9.3 When the PRODUCTS are delivered by the appointed carrier, the CUSTOMER must check, in the carrier’s presence:
a) that the quantity and type of PRODUCTS ordered correspond to those indicated in the transport document;
b) that the packaging is intact, undamaged, dry and otherwise unaltered, including its sealing materials;
c) that the quantity and type of PRODUCTS delivered correspond to those ordered. Any anomaly or discrepancy must immediately be reported to the carrier upon receipt of the PRODUCTS and noted on the delivery document.
9.4 For assistance or complaints relating to purchased PRODUCTS, the CUSTOMER must contact ROVER using the details provided in section 16 of the GTC.

10. Statutory warranty for customers and consumers

10.1 Sales of PRODUCTS to a CUSTOMER acting as a consumer —that is, a natural person purchasing goods for purposes unrelated to any business or professional activity they may carry out, or who does not provide a VAT number on the order form— are subject to the statutory warranties established by Articles 129, 130 and 132 of the Italian Consumer Code, as amended by Italian Legislative Decree No. 170 of 4 November 2021. In particular, where a lack of conformity becomes apparent within two years of delivery, the CUSTOMER has the right to pursue a claim exclusively against their retailer. Any action to enforce defects not fraudulently concealed by the seller shall expire 26 months after delivery of the goods. Unless proven otherwise, any lack of conformity that becomes apparent within one year from the date on which the goods were sold shall be presumed to have existed on that date, unless this presumption is incompatible with the nature of the goods or the nature of the lack of conformity.
10.2 In the event of a lack of conformity, the consumer is entitled to have conformity restored by choosing between repair and replacement, both free of charge, provided that the chosen remedy is not impossible or disproportionately costly for the retailer; to a proportional reduction in price; or to termination of the contract, except where the defect is minor.
10.3 Rights arising from the statutory conformity warranty may be exercised provided that the PRODUCTS have been used correctly, with due care, for their intended purpose and in accordance with the accompanying instructions, and subject to the CUSTOMER presenting proof of purchase.
10.4 The warranty does not cover normal wear and tear, scratches, abrasions or damage to the external parts of the product. In particular, it does not cover damage caused by improper use —including failure to follow the instructions in the user manual—, accidental drops or impacts, tampering or repairs performed by unauthorised persons, storage in unsuitable locations —including extreme temperatures, high humidity or exposure to weather— or failure to perform routine maintenance.

11. Consumer’s right of withdrawal

11.1 Pursuant to Article 64 of Italian Legislative Decree No. 206/2005, where the CUSTOMER is a consumer —that is, a natural person purchasing goods for purposes unrelated to any business or professional activity they may carry out, or who does not provide a VAT number on the order form— they have the right to withdraw from the CONTRACT without penalty and without giving any reason, starting from receipt of the order confirmation sent by ROVER and no later than ten working days after receipt of the goods at the specified delivery address. The date shown on the delivery document shall constitute proof of receipt.
11.2 Purchases made by retailers and companies with a VAT number, as well as purchases made directly from authorised stores, are excluded from the right of withdrawal. The right of withdrawal shall also not apply in the following circumstances:
a) the returned product is not intact, the original packaging is missing or components of the product —including accessories, screws or the instruction manual— are missing;
b) the product has been damaged for reasons other than transport;
c) the product has been used, assembled, disassembled or damaged.
11.3 The CUSTOMER may exercise the right of withdrawal by sending prior written notice by email to info@roverinstruments.com.
11.4 If the PRODUCT has already been delivered, the CUSTOMER must return it to ROVER. The PRODUCT must be returned within ten days of its receipt, as evidenced by the date shown on the delivery document. The CUSTOMER must communicate their intention to return the PRODUCT within the applicable period. Return costs shall be borne by ROVER, which shall arrange collection through its carrier. The CUSTOMER must prepare the PRODUCT properly packed in its original packaging and include a copy of the delivery document inside the package.
11.5 If the CUSTOMER exercises the right of withdrawal in accordance with these GTC, ROVER shall refund the amounts paid to the payment card, PayPal account or IBAN used for the purchase where payment was made by bank transfer. Where payment was made through financing, the CUSTOMER shall have the right to revoke the financing agreement and no amount shall be due if the right is exercised within the applicable period.

12. Seller’s liability

12.1 ROVER shall not be liable for disruption caused by force majeure or unforeseeable circumstances, including malfunctions and disruption of the Internet, where these prevent ROVER from fulfilling the order within the time limits established by the contract.

13. Use of the website

13.1 ROVER shall not be liable for problems experienced by the CUSTOMER when using the WEBSITE and its technologies where they are beyond ROVER’s control, including, by way of example: a) errors, delays or inability to access the WEBSITE during the sales procedure; b) errors, delays or inability of the CUSTOMER to receive communications sent by ROVER in connection with the sale of the PRODUCTS.

14. Intellectual and industrial property rights

14.1 ROVER informs users that the WEBSITE, together with all trademarks and distinctive signs used in connection with the sale of the PRODUCTS, is protected by the applicable intellectual and industrial property rights. Any reproduction, communication, distribution, publication, alteration or transformation, in any form and for any purpose, of the WEBSITE’s content, trademarks or distinctive signs used by ROVER is prohibited.

15. Personal data protection

15.1 Personal data obtained by ROVER from the CUSTOMER shall be stored and processed in accordance with applicable legislation, Italian Legislative Decree No. 196/2003, as subsequently amended, and Regulation (EU) 2016/679 (GDPR). The data shall be collected and stored in accordance with applicable national legislation solely to manage orders effectively and conduct ROVER’s business activities, including remarketing, quotations and offers. All personal data shall be treated with the utmost confidentiality. Providing the data is mandatory for the provision of services; refusal to provide it may prevent the relationship from continuing in whole or in part. The data may be disclosed to parties outside the Company, such as collaborators, advisers, representatives, carriers, partners, credit institutions or other parties, only where strictly connected with performance of the relationship. Data shall be processed in accordance with the principles of fairness, lawfulness and transparency and with due protection of confidentiality and individual rights. The data provided shall be processed for purposes related to the Company’s activities, particularly compliance with tax and accounting obligations and the conduct of its business, including remarketing, quotations and offers. Data shall be processed using IT tools, on paper or on any other suitable medium, in compliance with applicable law. Pursuant to Article 7 of Italian Legislative Decree No. 196/2003 and Article 15 of the GDPR, anyone who has provided personal data has the right to know at any time what personal data ROVER holds and how it is used, request its updating or completion, request its deletion or suspension, or object to its processing. Where a contract exists, the data shall be processed and retained for a maximum period of ten years, including in connection with quotations, offers and remarketing.

17. Governing law and jurisdiction

17.1 These General Terms and Conditions are governed by current Italian law. For civil disputes concerning sales contracts concluded through the WEBSITE between the CUSTOMER and ROVER, where the CUSTOMER is a consumer, exclusive territorial jurisdiction shall lie with the court of the CUSTOMER’s place of residence or domicile. In all other cases, exclusive territorial jurisdiction shall lie with the Court of Brescia.
17.2 If any provision of the CONTRACT or the GTC is found to be invalid, this shall not affect the validity of the CONTRACT or the GTC as a whole.

18. Returns

An online return request may be submitted to our office by emailing info@roverinstruments.com from 24 working hours after delivery of the order. The request must be submitted within 15 days of the delivery date. Items must be intact and include their complete original box. Only one return request may be submitted per order. Any shipping costs paid at the time of purchase shall not be refunded. If defective or incorrect goods have been received, ROVER may request photographic evidence before authorising the refund.
